Acceptance of terms
These Terms of Service (“Terms”) form an agreement between you and Annan Digital Labs, a business registered in Kenya under number BN-ZWSAQQ32 (“we”, “us” or “our”). By accessing annandigitallabs.com or using any of our applications, you agree to these Terms. If you do not agree, please do not use our website or apps.
Use of the website
You may use our website for lawful purposes, to learn about our company and to contact us. We may update, suspend or discontinue any part of the website at any time without notice.
Our apps
Our applications are licensed, not sold, to you. Subject to these Terms and any app-specific terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use our apps on devices you own or control. Apps distributed through Google Play or the Apple App Store are also subject to the terms of those stores. Each app’s privacy practices are described in its own privacy policy, available in our Privacy Center.
If an app requires an account, you are responsible for keeping your login details secure and for activity under your account. You may delete your account at any time as described on our Data Deletion page.
Professional services
Software development, design, consulting and support services are provided under a separate written agreement, proposal or statement of work. If there is any conflict between these Terms and a signed agreement, the signed agreement prevails.
Intellectual property
The website, our apps, our name, logo, and all related content, software and designs are owned by or licensed to Annan Digital Labs and are protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer or create derivative works from them except as allowed by law or with our written permission. Ownership of deliverables created for clients is set out in the relevant client agreement.
Your content
You keep ownership of any content you submit through our website or apps. You grant us a limited licence to use that content only as needed to operate and provide our services to you. You confirm that you have the right to submit it and that it does not infringe anyone’s rights.
Prohibited conduct
- Using our website or apps in violation of any law or regulation;
- Attempting to gain unauthorized access to our systems or other users’ data;
- Interfering with the operation or security of our services, including by introducing malware;
- Scraping, harvesting or automated collection of data without our permission;
- Impersonating any person or misrepresenting your affiliation with any person or organization.
Third-party services
Our website and apps may link to or integrate third-party services. We are not responsible for their content, policies or practices, and your use of them is governed by their own terms.
Disclaimers
Except as expressly stated in a signed agreement, our website and apps are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that our services will be uninterrupted or error-free.
Limitation of liability
To the maximum extent permitted by law, Annan Digital Labs will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from your use of our website or apps. Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnity
You agree to indemnify and hold harmless Annan Digital Labs from claims, losses and expenses arising from your breach of these Terms or your misuse of our website or apps.
Termination
We may suspend or terminate your access to our website or apps if you breach these Terms. You may stop using our services at any time. Sections that by their nature should survive termination will continue to apply.
Governing law
These Terms are governed by the laws of the Republic of Kenya. Any dispute will be subject to the exclusive jurisdiction of the courts of Kenya, without prejudice to any mandatory consumer protection rights you may have where you live.
Changes
We may revise these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Continued use of our website or apps after changes means you accept the revised Terms.
